Terms of Service

1. Agreement to Terms

By accessing or using Nurture's service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

2. Intellectual Property Rights

2.1 Service Content

The Service and its original content, features, and functionality are owned by Nurture and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

2.2 User Content

You retain any intellectual property rights to content you create, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of providing the Service.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree not to use the Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track the personal information of others
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose

5. Disclaimer of Warranties

You expressly understand and agree that:

  • Your use of the service is at your sole risk
  • The service is provided on an "AS IS" and "AS AVAILABLE" basis
  • We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:
    • Merchantability
    • Fitness for a particular purpose
    • Non-infringement
    • Uninterrupted or error-free service

6. Limitation of Liability

To the maximum extent permitted by law:

  • In no event shall Nurture, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for all claims related to the Service shall not exceed the amount you paid for the Service, or $100, whichever is greater
  • We are not liable for any loss or damage arising from:
    • Your failure to comply with these Terms
    • Unauthorized access to or use of our servers
    • Any interruption or cessation of transmission to or from the Service
    • Any bugs, viruses, or other harmful code that may be transmitted through the Service
    • Any errors or omissions in any content or data
    • Any third-party content or websites linked to the Service

7. Indemnification

You agree to defend, indemnify, and hold harmless Nurture and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete or archive your data according to our data retention policies
  • All provisions of the Terms which by their nature should survive termination shall survive

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in your jurisdiction.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
